Welcome to SharePlus, a cloud-based Share BackOffice Management System developed and operated by HiSoft Corporation. By accessing or using SharePlus, you agree to comply with and be bound by the following terms and conditions.
1. Acceptance of Terms
By accessing, subscribing to, or using SharePlus, you acknowledge that you have read, understood, and agreed to these Terms of Use, Privacy Statement, and any other policies published by HiSoft Corporation.
If you do not agree with these terms, you should discontinue use of the application immediately.
2. About SharePlus
SharePlus is a Software-as-a-Service (SaaS) platform designed to assist companies in managing:
- Shareholder records
- Shareholding reconciliation
- Dividend processing
- Corporate actions
- AGM and EGM management
- Compliance reporting
- Shareholder communication
- Regulatory reporting and documentation
The application is intended for lawful corporate and administrative purposes only.
3. License to Use
Subject to payment of applicable subscription fees and compliance with these Terms, HiSoft Corporation grants a limited, non-exclusive, non-transferable, revocable license to use SharePlus during the subscription period.
This license does not transfer ownership of the software or any intellectual property rights.
4. Intellectual Property Rights
SharePlus, its software code, designs, workflows, trademarks, logos, documentation, reports, and related content are proprietary assets of HiSoft Corporation.
All intellectual property rights remain exclusively owned by HiSoft Corporation.
Users shall not:
- Copy or reproduce the software
- Reverse engineer the application
- Modify source code
- Create derivative works
- Resell or redistribute the platform without written permission
5. Subscription & Fees
Access to SharePlus may require a paid subscription.
Subscription plans, features, usage limits, pricing, and renewal terms may be updated from time to time.
Unless otherwise agreed in writing:
- Subscription fees are payable in advance.
- Fees are non-refundable once services have been activated.
- Failure to renew may result in suspension of access.
6. Client Responsibilities
Clients are responsible for:
- Maintaining accurate shareholder and company records.
- Protecting user credentials and passwords.
- Ensuring lawful use of the platform.
- Obtaining necessary approvals and authorizations for data processing.
- Verifying reports before submission to regulators or stakeholders.
The client remains solely responsible for all data entered into the system.
7. Data Ownership
All client and shareholder data entered into SharePlus remain the exclusive property of the client organization.
HiSoft Corporation does not claim ownership of client data and acts solely as a technology service provider.
Clients may request data export subject to applicable contractual obligations.
8. Confidentiality
HiSoft Corporation shall exercise reasonable care in maintaining the confidentiality of client information.
Neither party shall disclose confidential information to third parties except:
- With prior written consent
- As required by law
- To fulfill contractual obligations
Confidentiality obligations shall survive termination of service.
9. Regulatory Compliance
SharePlus is designed to support compliance with requirements of:
- Bangladesh Securities and Exchange Commission
- Dhaka Stock Exchange
- Chittagong Stock Exchange
- Registrar of Joint Stock Companies and Firms
- Central Depository Bangladesh Limited
- National Board of Revenue
However, compliance remains the responsibility of the client organization, and HiSoft Corporation does not guarantee regulatory approval or acceptance of any report generated through the system.
10. Availability of Service
HiSoft Corporation will make commercially reasonable efforts to maintain service availability.
However, uninterrupted access cannot be guaranteed due to:
- Scheduled maintenance
- Software upgrades
- Network failures
- Internet interruptions
- Third-party service outages
- Force majeure events
11. Limitation of Liability
To the maximum extent permitted by law:
HiSoft Corporation shall not be liable for:
- Loss of profits
- Business interruption
- Data loss resulting from user actions
- Regulatory penalties caused by inaccurate data
- Indirect or consequential damages
The total liability of HiSoft Corporation shall not exceed the subscription fees paid by the client during the preceding twelve (12) months.
12. Indemnification
The client agrees to indemnify and hold harmless HiSoft Corporation, its officers, employees, consultants, and affiliates from any claims, liabilities, losses, damages, or expenses arising from:
- Unauthorized use of the platform
- Violation of laws or regulations
- Inaccurate or misleading data entered by users
- Breach of these Terms
13. Security & Access Control
Users are responsible for:
- Maintaining secure passwords
- Restricting unauthorized access
- Reporting suspected security incidents immediately
HiSoft Corporation reserves the right to suspend access where security risks are identified.
14. Third-Party Services
SharePlus may integrate with third-party services such as:
- Email providers
- SMS gateways
- Payment gateways
- Cloud hosting services
- Calendar applications
- Digital meeting platforms
HiSoft Corporation is not responsible for the policies, availability, or actions of third-party providers.
15. Suspension & Termination
HiSoft Corporation may suspend or terminate access if:
- Subscription fees remain unpaid.
- Users violate these Terms.
- Security risks are detected.
- Services are used unlawfully.
Clients may terminate services according to their subscription agreement.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles.
Any dispute arising under these Terms shall be subject to the jurisdiction of the competent courts of Bangladesh.
17. Amendments
HiSoft Corporation reserves the right to amend these Terms at any time.
Updated versions will be published on the SharePlus website and application portal. Continued use of the service constitutes acceptance of the revised terms.
